Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website at https://namexim.net (the "Site") and the digital products and consulting services (collectively, the "Services") supplied by NAM EXIM LTD, a private limited company registered in England and Wales under company number 07342938, with registered office at 15 Sibley Park Road, Reading, RG6 5UB, United Kingdom ("NAM EXIM", "we", "us" or "our"). By placing an order, creating an account or otherwise using the Site you accept these Terms in full.
1. The Services we provide
NAM EXIM publishes downloadable IT Service Management ("ITSM") templates, toolkits and supporting documentation. Specific deliverables, file formats and any included support are described on the relevant product page at the time of purchase and form part of these Terms.
Custom consulting services are scoped under a separate written engagement letter; these Terms cover digital products purchased through the Site only.
2. Eligibility
You must be at least 18 years old, have the legal capacity to enter into a binding contract and, if purchasing on behalf of an organisation, be authorised to bind that organisation. The Services are intended for business use; we do not knowingly market the Services to consumers acting outside the course of a trade, business, craft or profession.
3. Orders and contract formation
An order is an offer by you to purchase the relevant product. A binding contract is formed only when we issue an order confirmation email containing your download link, after payment has been authorised by our payment provider. We may refuse or cancel any order for reasons including, but not limited to, suspected fraud, sanctions screening failures or pricing errors; in such cases any payment taken will be refunded in full.
4. Pricing, taxes and payment
- All prices are stated in US Dollars (USD) and are exclusive of any indirect taxes that may apply in your billing jurisdiction; where applicable taxes are added at checkout they will be itemised before payment.
- Payment is processed by our PCI-DSS compliant payment service provider, Stripe. We do not receive or store your full card details.
- You must use a payment method you are authorised to use. Chargebacks raised in bad faith will be contested.
5. Digital delivery
Each product is delivered electronically as one or more files (PDF, DOCX, XLSX) to the email address supplied at checkout. We aim to deliver within one (1) UK business hour of payment confirmation; in any event delivery will occur within 24 hours. Download links remain valid for 30 days and may be re-issued by writing to [email protected]. See our Delivery Policy for full detail.
6. Licence to use the toolkits
Subject to payment in full, NAM EXIM grants you a perpetual, worldwide, non-exclusive, non-transferable licence to use, edit and reproduce the purchased templates and supporting documentation internally within the single legal entity that placed the order, including its wholly-owned subsidiaries. The licence is granted to you and is not assignable.
You may not, without our prior written consent:
- resell, sublicense, lease, rent or otherwise commercially distribute the templates, whether modified or unmodified;
- incorporate the templates into a competing toolkit, marketplace listing or service offered to third parties;
- remove or obscure any copyright or attribution notices contained in the deliverables.
Use of the deliverables for genuine internal consulting work delivered to your own clients is permitted, provided no template is delivered "as is" as a stand-alone product to such clients.
7. Intellectual property
All intellectual property rights in the Site and the deliverables are and remain the property of NAM EXIM or its licensors. Nothing in these Terms transfers ownership of any intellectual property to you - only the licence granted in clause 6 is conferred.
8. Acceptable use
You must not use the Site or the Services to violate any applicable law, infringe any third-party rights, distribute malware, attempt to interfere with the integrity or performance of the Site, or attempt to gain unauthorised access to any part of the Site or to any account other than your own.
9. Refunds
Refunds are governed by our Refund Policy, which forms part of these Terms.
10. Cancellation rights for UK and EU consumers
If, despite clause 2, you are buying as a consumer resident in the UK or EU, you have the right to cancel an order within 14 days under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. By placing the order and ticking the express-consent checkbox at checkout you expressly request immediate performance of the Services and acknowledge that you lose the right to cancel once download has commenced.
11. Warranties and disclaimers
The Services and the deliverables are provided on an "as is" and "as available" basis. While we take reasonable care to ensure the templates reflect current industry frameworks (ITIL v4, COBIT 2019, PRINCE2), we make no warranty that the deliverables will fit your specific organisational, regulatory or contractual requirements. You are responsible for evaluating their suitability for your purposes and for any modifications you make.
12. Limitation of liability
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited or excluded. Subject to that, our total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence), for breach of statutory duty or otherwise, is limited to the amount paid by you for the relevant product in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect or consequential loss, loss of profit, loss of data, loss of goodwill or business interruption.
13. Indemnity
You agree to indemnify NAM EXIM against any losses arising from your breach of clause 6 (Licence) or clause 8 (Acceptable use).
14. Termination
We may suspend or terminate your access to the Site or the Services with immediate effect for material breach of these Terms, including breach of the licence terms. Termination does not affect any rights or liabilities that accrued before termination.
15. Changes to these Terms
We may update these Terms from time to time. The version in force at the time you place an order governs that order. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by email.
16. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that consumers domiciled in another part of the UK or in an EU member state may bring proceedings in their place of residence.
